OLD METAIRIE GARDEN CLUB
ARTICLE I – NAME
A. The name of this organization shall be Old Metairie Garden Club, LLC, hereinafter referred to as the “CLUB”.
B. OLD METAIRIE GARDEN CLUB exists to:
– Create, preserve and maintain current and future gardens of Metairie Road and Old Metairie.
– Promote the development of gardening skills among members and nonmembers.
– Protect native trees, wildflowers and birds.
– Encourage civic beauty, planting and all worthwhile outdoor work
C. The fiscal year shall run from July 1 through June 30.
ARTICLE II – STANDING RULES
A. Standing Rules shall be created to operate the business of the Club. Said Rules shall be complementary to these By-Laws and in no way negate these By-Laws. The Standing Rules shall be appended to these By-Laws and published annually in the Club’s Yearbook and website.
B. The Standing Rules may be amended, added to or deleted by a two-thirds vote of the Board of Directors/Executive Committee.
ARTICLE III – MEMBERSHIP
a. Members residing in Old Metairie
b. Members residing Outside of Old Metairie
c. Businesses and Associations residing in Old Metairie
d. Businesses and Associations residing outside of Old Metairie
B. OLD METAIRIE BOUNDARIES: Cemeteries to Severn and I-10 S Service Rd to Airline.
C. APPLICATION AND APPROVAL OF MEMBERS
a. Proposal for membership shall be made on a furnished by the Membership Chairman.
b. Requirements for membership are set forth in the Standing Rules of the Club.
ARTICLE IV – DUES
A. Dues shall be set by the Board of Directors/Executive Committee. February 1 – January 31
B. Dues for all classes of membership for the next membership year are due on or before the regular meeting in February.
C. Dues are lower for residents, businesses, and associations within the Old Metairie boundaries.
D. Dues are two times higher for non-residents, businesses and associations that are outside of Old Metairie boundaries.
E. If dues (this applies to all classes of membership) remain unpaid on March 1st, a final notice, so marked, shall be emailed to that member. If dues remain unpaid thirty days (30) days after said notice is mailed, the member shall be notified in writing of the termination of membership. Upon demonstration of extenuating circumstances by said member, the Board may vote to restore said membership.
ARTICLE V – MEETINGS
A. The Club shall meet on the 2nd Tuesday of each month except during the months of July and August. Special meetings and any changes to the regular meeting schedule shall be left to the discretion of the Board.
B. One-fourth (1/4) of the Active membership shall constitute a quorum for all meetings and whenever a vote by the membership is required.
C. Attendance at meetings held will be limited to Active members only.
ARTICLE VI – OFFICERS
A. The Officers shall be the President, Vice President, Past President, Recording Secretary, Membership/Communications Director, Treasurer, Historian, Honorary Board Member, Marketing Director, Social Events Director.
B. The Terms of Office shall be two years for each officer.
C. Election of officers shall be held at the March meeting within installation at the May meeting.
ARTICLE VII – BOARD OF DIRECTORS AND EXECUTIVE COMMITTEE
A. Board of Directors and Executive Committee is known as one in the same.
1. One-fourth (1/4) of the Board/Executive members shall constitute a quorum. A two-thirds (2/3) affirmative vote is required to pass any action brought before the Board.
2. A vacancy in any office shall be filled by action of the Board of Directors/Executive Committee. The person so appointed shall serve for the unexpired term of that office.
3. The Board/Executive Committee shall meet at least six times a year; other meetings of the Board may be called at the discretion of the President.
4. Special Committee chairpersons shall attend Board meetings when their presence is required.
ARTICLE VIII – COMMITTEES
A. All committees shall be listed in the Standing Rules of the Club. The Committee descriptions and functions shall be published annually in the Yearbook.
B. Special Events Chairperson oversee the chairs of each committee.
C. Annual reports from the Special Events Chairperson shall be submitted to the President on or before May 1st.
D. The Nominating Committee shall consist of the immediate Past President as Chair, the Chair of the Membership committee and three Active members appointed by the President no later than the January meeting.
ARTICLE IX – RESIGNATION AND REINSTATEMENT
A. Resignations and requests for reinstatement shall be in writing to the Membership Chair. Replies shall be in writing and by the President and Membership Chair.
B. Notification of Revocation of membership shall be submitted to the member in writing and signed by the President and Chairman of the Membership Committee.
C. The Standing Rules shall specify eligibility for reinstatement and determination of revocation of membership.
ARTICLE X – AMENDMENT OF BY-LAWS
A. Any active member may propose an amendment to these By-Laws. Any proposal to amend these By-Laws must be presented, in writing, to the Board for approval before submission to the membership.
B. Any proposed amendment, approved by the Board, must be submitted to the membership at least two (2) weeks prior to the vote. Publication of the amendment on the official website of the Club shall also constitute official notice provided the members are individually notified of said publication in writing or electronically within the prescribed time, as indicated herein.
C. These By-Laws may be amended at any regular meeting of the Club by a majority affirmative vote of Active members in attendance.
APPROVAL AND ADOPTION:
These By-Laws were adopted by the Old Metairie Garden Club’s membership at its meeting on the 23rd day of January, 2018.
